Represented Noble Energy, the US gas giant, as local counsel in the merger transaction where Chevron acquired Noble Energy for approximately USD 5 billion.
Represented Avner Gas and Delek Drilling partnerships in the first merger of a limited partnership in Israel, at a value of USD 4 billion.
Represented Delek Drilling and Chevron in a transaction for purchasing 39% of the shares of the Egyptian gas pipeline company EMG. The transaction led to the restoration of the gas infrastructure between Israel and Egypt.
Represented Delek Drilling in a huge transaction where Delek Drilling sold its share (22%) in the Tamar gas reservoir to Mubadala Petroleum, a company owned by the government of Abu Dhabi, for over a USD 1 billion.
Represented Global Energy Generation, a leader in renewable energy projects in the US, in a transaction with Migdal Insurance Company, where Migdal invested USD 330 million in the company in exchange for 20% of its shares.
Represented the tech company Taldor in the reverse triangular merger transaction with One Technologies, which acquired Taldor for ILS 250 million.
Represented Delek Automotive in the transaction to purchase 70% of Veridis, for approximately ILS 992 million.
Represented Equital, a public holding company, in a reverse triangular merger transaction valued at ILS 3.5 billion with JOEL, pursuant to the Anti-Concentration Law.
Represented the international insurance company Willis Towers Watson in the acquisition of the Israeli insurance company Leaderim.
Represented Bank Hapoalim in the separation from Isracard, considering two alternatives: IPO or private sale. Ultimately, Isracard went for an IPO, in what became the largest IPO in Israel in recent years at an estimated value of ILS 2.7 billion. This is also the first IPO of a credit card company in Israel.
Represented the international shipping company Flying Cargo in the transaction in which FedEx acquired the activities and assets of the company’s international express division.
Represented Veridis and Israel Infrastructure Fund in the transaction to acquire the paper production and recycling company, Infinya (formerly Hadera Paper), through a merger transaction valued at ILS 2.35 billion.
Represented the Generation Capital Fund in the transaction for logistics storage cooperation with Fridenson Logistic Services Ltd. As part of the transaction, Generation Fund purchased 50% of the joint company in exchange for approximately ILS 70 million.
Represented Mr. Aaron Frenkel in a sizeable transaction, where Property and Building Corp. acquired Mr. Frenkel’s shares in Gav Yam, for a little over ILS 3 billion.
Represented Matzlawi in a partnership agreement with ICR Urban Renewal (Israel-Canada) for the establishment of a large urban renewal project – as part of the transaction, ICR purchased 50% of Matzlawi’s rights in the project in exchange for ILS 16 million.
Provided counsel in the Agis-Perrigo merger – the first international reverse triangular merger.
Represented the international telecommunications company AT&T in a complex tech transaction with the software development company DriveNets, which develops solutions that will be integrated into the AT&T infrastructure.
Represented the Canadian company VerticalScope Inc. in three major purchase transactions, where the company purchased Hometalk Inc. together with its Israeli subsidiary, for a total of approximately USD 38.5 million.
