Ram Shchory

Biography

Ram Shchory is a partner in the litigation department at our Tel aviv office.

Ram works in civil and commercial litigation covering a variety of issues, representing domestic and international clients in complex arbitration and mediation proceedings. Ram’s main activity is counseling companies and executives in corporate, securities law, class actions, corporate governance, commercial and competition law, banking and corporate finance.

Ram mainly acts for companies and officers in class and derivative actions in corporate law, and he has represented a long list of clients in proceedings revolving focused on business such as a reverse triangle merger to reduce layers in a public company to comply with Israel’s Centralization Law, in takeover bids for control of public corporations, compensation for officers and other corporate lifecycle events including criminal investigations by the US authorities and the Israel Competition Authority.

Ram also provides advice on debt settlements, domestic and international investment and acquisition transactions in technology companies, shareholder disputes, participation in tenders and the provision of services to government companies.

He represents some of the biggest companies and officers in Israel’s economy that engage in real estate, energy, hotels, banking, consumer goods and more, together with various international clients.

In 2014, Ram won a Norman E. Alexander scholarship to study for his master’s degree at Columbia University Law School, New York. He graduated with honors for which he was named a Harlan Fiske Stone Scholar, awarded in recognition of superior academic achievements.

During his studies at Columbia University, Ram served as a research assistant for Professor Zohar Goshen and conducted academic research under the supervision of Professor Robert C. Jackson. At the Hebrew University during his undergraduate studies, he served as a research and teaching assistant to professors Assaf Hamdani and Dafna Levinson-Zamir.

  • Represented a holding company in a class action lawsuit against allegations of a violation of a tender offer in the sale of control of a real estate company.
  • Represented companies and executives of a key group in the Israeli economy in class and derivative actions revolving around layer reduction in pyramid holding structures under the Israeli Centralization Law.
  • Represented an Israeli bank in a successful appeal against the objection of the director general of the Israeli Competition Authority to its merger with another bank.
  • Acted for senior executives at a leading Israeli bank in preparation for an appearance before a parliamentary inquiry committee into credit facility arrangements for large business borrowers.
  • Represented executives of a real estate development company in class and derivate action proceedings over allegations regarding stakeholder transactions.
  • Represented a large contracting company in a contractual dispute regarding the enterprise rights to build on high value real estate.
  • Represented senior executives of an international software technology company in a derivative claim regarding remuneration for their tenure.
